The "Zyroo AI Membership Service Agreement" (referred to as "this Agreement") is a legal agreement between you and the Zyroo AI website (collectively referred to as "Zyroo AI") regarding the "Zyroo AI Membership" and the various services provided by Zyroo AI within the "Zyroo AI Membership" (collectively referred to as "Membership").
Zyroo AI has highlighted in bold font clauses that may significantly affect your rights (including, but not limited to, those concerning liability exemptions, rights restrictions, agreed dispute resolution methods, and judicial jurisdiction). You must ensure you have fully read and clearly understood these bolded clauses before using the Membership service.
This Agreement supplements the "Zyroo AI User Agreement" and holds equal legal standing. Should a conflict arise between this Agreement and the aforementioned agreement, this Agreement shall prevail. Zyroo AI reserves the right to amend this Agreement's content. Following any change, Zyroo AI will notify you on the relevant page or through other reasonable means, and you are requested to read the changes carefully. If you disagree with the changes, you may elect to stop using Zyroo AI services. However, your continued use of Zyroo AI services constitutes your agreement to all the changed content. The updated content becomes effective from the update date specified at the beginning of the text.
If you are under the age of 18, this Agreement must be reviewed in the presence of your legal guardian.
Description of Membership Services
Membership Subscription service is intended for individual users and is offered in three tiers: Monthly, Quarterly, and Annual. The quotas and durations for these membership levels are as follows:
The Monthly Card is valid for 30 days and includes a total quota of 2500.
The Quarterly Card is valid for 90 days, offering a monthly quota of 2500 and a total quota of 7500.
The Annual Card is valid for 365 days, providing a monthly quota of 2500 and a substantial total quota of 30,000.
An alternative tier system is outlined in the following table:

Procedure for Activating Membership Services
You may activate the Membership by paying the stipulated fee through Zyroo AI's designated payment methods, which include, but are not limited to, Visa, Mastercard, or any future methods designated by Zyroo AI. The Membership price may vary based on your software version, and the amount displayed at the time of activation will be the final prevailing charge.
You must join the Membership through the method designated by Zyroo AI, and you are required to read, confirm, and comply with the relevant agreements and usage methods. Furthermore, the information you provide when applying for membership must be true and valid, and you must promptly update your registered personal data if any changes occur.
Upon successfully becoming a member, you will gain access to multiple exclusive member privileges and value-added services. The Membership's effective start date is the time the service is activated, and you can view the specific details on Zyroo AI - Personal Homepage.
Prior to your Membership expiration, Zyroo AI will notify you that renewal is approaching via system notifications or other reasonable means, allowing you to extend your Membership through specified methods, such as purchasing a new term. Should your Membership expire, Zyroo AI will terminate the provision of Membership services.
You acknowledge and agree that the Membership service is an online and virtual commodity provided on a pre-paid, post-service basis. The Membership fee represents the price of the virtual commodity corresponding to the service you purchased and is not classified as an advance payment, deposit, fixed deposit, or savings card.
Once activated, the Membership service is non-transferable and non-refundable. Exceptions to the non-refundable policy include cases where Zyroo AI breaches the contract (e.g., major defects preventing complete use), situations otherwise stipulated in this Agreement, legal and regulatory requirements for a refund, or instances where Zyroo AI customer service reviews and approves a refund. If you do not accept the Membership service, you have the option to cease its use or discontinue extending it.
Obligations of Zyroo AI
While committed to providing members with multiple exclusive privileges and value-added services, Zyroo AI shall exert its best efforts to ensure the stability of the Membership service and, to this end, shall provide various technical and customer service support, including but not limited to:
Providing online consulting customer service for issues encountered during membership activation, including registration, login, purchasing, and redemption.
Offering active and effective content and technical support for Membership services, covering daily operation, maintenance, repair, and updates.
Addressing frequently asked questions and clarifying basic rules that arise during the provision of Membership services.
Managing and monitoring the programs and data associated with Membership services to ensure stability.
Making the utmost effort to safeguard your legitimate interests by preventing malicious attacks on the Membership service's servers and technical equipment.
Providing any other technology and/or services offered to you by Zyroo AI.
Basic Principles for the Use of Membership Services
In using Zyroo AI's paid services, you must comply with all laws, regulations, and other normative documents; observe public order; respect social morality; and refrain from endangering network security. You are prohibited from using the network to engage in activities that:
Endanger national security or interests
Incite subversion of state power
Incite separation of the country or undermine national unity
Promote terrorism, extremism, ethnic hatred, or ethnic discrimination
Spread violence, obscene, or pornographic information
Fabricate and disseminate false information to disrupt economic and social order
Infringe upon the reputation, privacy, intellectual property rights, or other legal rights of others.
In any event, if Zyroo AI reasonably believes that you have engaged in the aforementioned prohibited behaviour, it reserves the right to terminate the provision of Zyroo AI's paid services to you at any time without prior notice.
Unless otherwise expressly agreed upon by both parties, Zyroo AI grants you a personal, non-exclusive, non-commercial, revocable, and time-limited license to use Zyroo AI's paid services. Accordingly, you are permitted to use Zyroo AI's paid services exclusively for personal, non-commercial purposes.
When obtaining and utilizing Zyroo AI's paid services (including participation in related activities), you must adhere to the procedures, platform specifications, and other rules officially announced by Zyroo AI:
Prohibition on Unauthorized Acquisition: You must not illegally obtain Zyroo AI's paid services (including, but not limited to, all or part of Zyroo AI accounts or membership benefits) and/or obtain benefits through participation in activities via channels, methods, or means that are unauthorized or unannounced by Zyroo AI.
Prohibition on Exploitation: You must not participate in activities or obtain benefits through improper means or in a manner that violates the principle of good faith (such as exploiting rule loopholes, exploiting system vulnerabilities, abusing account identity, engaging in fraudulent schemes, speculation, or using other methods that violate Zyroo AI's original intention for providing services or holding activities).
If you violate the above agreement, Zyroo AI reserves the right to delete, cancel, or clear the benefits and rights you have obtained, and to terminate the provision of services to you. You shall be responsible for bearing all resulting losses.
Account Management and Security
You are responsible for properly and correctly keeping, using, and maintaining your Zyroo AI account and password, and for implementing necessary and effective confidentiality measures for them. You shall bear any losses, including but not limited to loss, leakage, alteration, or theft, caused by improper keeping, use, or maintenance that is not attributable to Zyroo AI's breach of its legal obligations.
If you detect unauthorized use of your account, or if other account abnormalities prevent normal login and use, you must follow the official account retrieval process announced by Zyroo AI to recover your account.
During the retrieval process, Zyroo AI may require you to provide specific information and/or supporting documents. You must ensure that all content you provide is true and valid, as failure to do so may prevent you from passing Zyroo AI's verification and result in retrieval failure.
To protect account security and prevent events such as account theft, Zyroo AI may periodically adopt one or more methods to verify the identity of the account user (e.g., binding an email, a mobile phone number, sending SMS verification).
If verification fails, Zyroo AI will have reasonable grounds to suspect that the account is compromised (e.g., being stolen) and will determine whether to suspend the continued provision of services to the account and/ or take further measures based on the severity of the circumstances.
If you actively refuse to cooperate, Zyroo AI reserves the right to impose measures such as banning your account and terminating the provision of services to you. All resulting losses shall be borne by you.
Please be specially aware that all actions conducted under your Zyroo AI account shall be deemed your own actions, and you are fully responsible for all activities that occur under or through that account.
The Zyroo AI account is compatible with mobile phones, tablets, computers, and their corresponding web platforms. However, the specific being used is subject to Zyroo AI's actual service offering.
In principle, the account allows login registration on a maximum of X devices in total, but it can be used on only one device at any given time.
Should you exceed the stated usage restrictions, you shall bear any resulting losses. Furthermore, based on your excessive usage, Zyroo AI reserves the right to implement handling measures, including, but not limited to, restricting login, restricting use, interrupting, or terminating services.
Code of Conduct and Breach of Contract Handling
In the process of using Zyroo AI's paid services, you are strictly prohibited from engaging in the following behaviors:
Commercial Use: Actions taken for commercial or any other non-personal use purposes.
Illegal Data Collection: Illegally crawling Zyroo AI's content or information through any automated program, script, or software (e.g., robot software, spider software, or crawler software).
Exploitation or Bad Faith: Obtaining Zyroo AI's services through improper means or in a manner that violates the principle of good faith (such as exploiting rule loopholes, exploiting system vulnerabilities, abusing account identity, engaging in organized illicit schemes, speculation, or using other methods that violate the original intent of Zyroo AI's services or activities).
Unauthorized Modification: Modifying information such as service content, service period, consumption amount, or transaction status through technical means without the express authorization of Zyroo AI.
Service Sharing: Providing Zyroo AI's paid services for use by others through means not expressly authorized by Zyroo AI (including, but not limited to, borrowing, renting, selling, sharing, or transferring the services).
Content Reproduction/ Derivative Works: Without the express authorization of Zyroo AI, copying, downloading, uploading, modifying, cataloging, translating, issuing, developing, transferring, selling, displaying, disseminating, synthesizing, nesting, linking, creating derivative works, or engaging in the commercial development or promotion of all or part of the content provided by Zyroo AI's paid services.
Security Interference: Cracking, changing, reverse-operating, tampering with, or otherwise destroying any security measures or technology used by Zyroo AI to protect its paid services.
IP Removal: Removing any ownership or intellectual property statement or label on the content of Zyroo AI's paid services without Zyroo AI's prior written consent.
Public Display: Without the express authorization of Zyroo AI, displaying all or part of the content provided by Zyroo AI's paid services in any public venue, whether for a fee or for free (unless such behaviour does not constitute infringement).
General Violation: Other acts not expressly authorized or licensed by Zyroo AI, or acts that violate this Agreement, applicable laws, regulations, or regulatory policies, or infringe upon the legitimate rights and interests of Zyroo AI or third parties.
You acknowledge and agree that if you engage in any conduct that violates national laws, regulations, or regulatory policies, breaches this Agreement, or harms the reputation or interests of Zyroo AI and/or its affiliated companies, Zyroo AI shall have the right to independently determine and implement one or more of the following handling measures:
Conflict Resolution: If this Agreement contains a separate clause stipulating the handling method for the specific violation, that clause shall govern the handling of the behaviour.
Immediate Measures: Zyroo AI may implement one or more measures without prior notification to you to stop your behaviour and address the consequences arising from it. Such measures include, but are not limited to, deleting or shielding relevant links or content, and restricting or cancelling your account or account usage permissions.
Termination Without Refund: Zyroo AI may interrupt or terminate part or all of its services without notifying you. In such an event, any service fees you have paid will not be refunded, and you shall not receive any form of compensation or indemnification.
Compensation: Should your actions cause any loss to Zyroo AI and/or its affiliated companies, you shall bear full liability for compensation for the loss and must complete payment of the required fees within the time limit set by Zyroo AI.
Privacy Protection
You understand and agree that Zyroo AI shall process and protect your personal information strictly in accordance with the provisions outlined in the "Zyroo AI Privacy Policy."
Protection of Minors
Zyroo AI places significant importance on the protection of minors. If you are a minor, you must read this Agreement under the supervision and guidance of your legal guardian and may only use the Membership service after obtaining their explicit consent.
Guardians must guide their children on the safety issues inherent in internet use to ensure protection and prevent problems. If a guardian consents to a minor using the Membership service, the guardian is required to:
Apply for consumption or Zyroo AI services in the guardian's name
Properly guide and supervise the minor's use of the Membership service
The minor's use of the Membership service, as well as the exercise and fulfillment of the rights and obligations under this Agreement, shall be deemed to have been approved by the guardian.
Zyroo AI reminds minors that when using the Membership service, they should focus on productive online learning, understand the fundamental difference between the online world and the real world, and take steps to avoid network addiction that could negatively affect their daily study and life.
Suspension or Termination of Service
The suspension or termination of service may occur in the following situations:
User Request: When you actively request the termination of service.
Violation of Agreement/Law: If you engage in, or Zyroo AI independently determines you have engaged in, any conduct that violates national laws, regulations, or regulatory policies, breaches this Agreement, or harms the reputation or interests of Zyroo AI and/or its affiliated companies.
Requirement by Authorities: When Zyroo AI acts in accordance with the provisions of laws and regulations, regulatory policies, or the mandatory requirements of the competent authorities.
Emergency Security Situation: When Zyroo AI needs to maintain account and system security in emergency situations.
Force Majeure: Due to circumstances that cannot be foreseen, avoided, and overcome, such as natural disasters (e.g., typhoons, floods, and earthquakes). Given the special nature of the Internet, the term Force Majeure in this Agreement also includes situations affecting the normal operation of the Internet, such as hacker attacks, significant impacts caused by technical adjustments of telecommunications departments, temporary shutdowns caused by government control, and virus attacks.
Unforeseeable Circumstances: Other situations that Zyroo AI cannot control.
When the aforementioned termination occurs, you and Zyroo AI mutually agree to the following handling methods:
Clearance of Rights: All generated but unused membership rights for Zyroo AI's paid services shall be automatically cleared and cannot be cashed out.
Non-Refundable Fees: Unless otherwise stipulated by laws and regulations or specifically designated by Zyroo AI, fees already collected by Zyroo AI will not be refunded.
Liability for Breach: If the termination is caused by your breach of this Agreement, Zyroo AI reserves the right to require you to bear the corresponding liability for breach of contract, depending on the circumstances.
Limitation of Liability: Unless otherwise stipulated by laws and regulations or specifically designated by Zyroo AI, Zyroo AI shall not be liable to you or any third party for the termination.
Application of Law and Jurisdiction
The interpretation, validity, and settlement of disputes arising from this Agreement shall be governed by Singapore laws and regulations. Should any dispute arise concerning the content or execution of this Agreement, the parties shall endeavor to resolve it through friendly negotiation. If negotiation fails, the dispute shall be referred to and finally resolved by arbitration administered by the Singapore International Arbitration Centre (SIAC) in accordance with the Arbitration Rules of the Singapore International Arbitration Centre for the time being in force. The seat and venue of the arbitration shall be Singapore. The language of the arbitration shall be English.

Zyroo AI Membership Automatic Renewal Service Rules
These Zyroo AI Membership Automatic Renewal Service Rules (hereinafter, "these Rules") are considered an appendix to the "Zyroo AI Membership Service Agreement." In the event of any conflict between these Rules and the "Zyroo AI Membership Service Agreement," these Rules shall prevail.
Your use of the Zyroo AI Membership Automatic Renewal Service is conditioned upon your explicit agreement to these Rules.
You understand and agree:
The Zyroo AI Membership Automatic Renewal Service (hereinafter, "this Service") is provided to satisfy the member's desire for continuous service and to prevent membership expiration due to oversight or other reasons, contingent upon you having an active Membership. The available automatic renewal billing cycles include: monthly, quarterly, annual, and others (the specific cycles offered are subject to Zyroo AI's provision), and you are free to select your preferred cycle.
If you activate this Service, it constitutes your authorization for Zyroo AI to instruct the payment channel to deduct the fee for the next billing cycle from your designated accounts (including your self-recharge account, third-party payment account linked to your member account, bank card, Apple Store account-bound payment account, etc., hereinafter collectively referred to as the "Account"). This deduction will occur within a 24-hour window before and after the expiration of your current Membership automatic renewal service period, and it will proceed without requiring verification of your member account password, payment password, or SMS verification code. To maximize the chance of a successful payment, if the available funds or limit of a single Account is insufficient, the payment channel may combine funds from two or more channels, based on the payment order you have set, to complete the deduction. The specific combined payment service is dependent on the actual functionality supported by the channel provider's product. Please note that for some channels (such as Apple iOS channels), the operator or payment channel independently determines the precise deduction cycle; therefore, the exact deduction time for the automatic renewal service will be subject to the actual timing of each channel.
The successful provision of this Service requires two fundamental conditions: first, that you have securely linked your member account to the designated Account; and second, that the full renewal fee can be successfully deducted from that Account. You shall be responsible for any renewal failure caused by factors such as insufficient funds or limits in the Account, or any abnormality with the Account itself. If you do not actively choose to cancel this Service, Zyroo AI may attempt to provide you with the automatic renewal service once your Account returns to normal and the balance is sufficient (specifics are subject to the rules of the respective third-party payment channel). Once a deduction is successful, Zyroo AI will promptly restore your Membership service and this Automatic Renewal Service.
You acknowledge and agree that your use of any third-party payment channel to pay the renewal fee will also subject you to the respective service terms and usage rules of that third party.
This Service remains valid long-term from the date of activation until you autonomously choose to cancel it. Zyroo AI will send you an automatic renewal reminder via one of the following channels: email, mobile phone SMS, site private message, or other appropriate means 5 days prior to the expiration date of your current Membership automatic renewal service period. Please ensure you monitor these notifications.
The decision to cancel this Service rests entirely with you. If you do not cancel, it shall be deemed that you agree to Zyroo AI attempting renewal deduction according to these Rules:
Successful Renewal: Once the deduction is successful, Zyroo AI will automatically extend your Membership validity period (which you can verify in Zyroo AI APP → Personal Homepage).
Price Adjustment: If the Membership service price is adjusted at or before the time of automatic renewal, the then-currently effective price shall prevail.
Duration Accumulation: If you purchase other Membership packages without cancelling this Service, or purchase this Service while already holding other Membership packages, the durations of all purchased packages will be accumulated into your total Membership validity period. You understand and agree that Zyroo AI will continue to deduct the fee for this Service from your Account until you actively cancel.
If you wish to change your automatic renewal package after activating this Service, you must first cancel the existing Service and then repurchase the Service after selecting your desired automatic renewal package.
You can cancel this Service through the following methods, depending on your original purchase method:

Special Note Regarding Cancellation:
Successfully cancelling this Service will not affect your current, active Membership rights that have already been paid for. Your existing Membership term will simply expire without automatic renewal.
Liability: Any instruction you entrusted to Zyroo AI for automatic renewal deduction remains valid until the moment you choose to terminate this Service. Zyroo AI will not refund fees deducted based on that instruction, and you shall bear the relevant responsibility yourself.
